TERMS AND CONDITIONS
Rights & Ownership.
Rights
All services provided by Ground Creative shall be for the exclusive use of the client other than for Ground Creative’s promotional use. Upon payment of all fees and expenses, the following reproduction rights for all approved final designs created by Ground Creative shall be granted:
– Client to gain full transferable right to design work.
– Client to gain full licence to reproduce works trough commercial printers.
Ownership
The client shall be entitled to full ownership of all artwork created during the project upon full payment of the agreed fee. Ground Creative reserves the right to withhold supply of any final files until full payment has been made.
Granting of ownership does not extend to the use of design proposals and concepts submitted but not approved for the work outlined. Ground Creative reserve the rights to certain elements used to create projects including raw files, fonts, patterns, stock images, textures, colour palettes, and other non-exclusive items.
Ground Creative reserve the right to use stock images in the creation of designs if required. Costs of this will be outlined to the client prior to purchase if not included in the proposal quote.
Third Party Contracts
Ground Creative may contract with other creative professionals to provide specialised services. Any third party terms and conditions will include full reproduction rights for the client. No project will commence on the assumption third parties may be required. Such details will be finalised prior to project commencement, unless requested by the client at a later date.
Payment Schedule.
Projects Under $1000 (ex gst)
Full payment is required within 14 days of project completion.
Projects $1000 and Over (ex gst)
Client will make a 50% down payment prior to work commencing. The project can be scheduled once down payment has been received. The down payment is non-refundable. The remaining 50% is payable upon completion of the project and before final artwork is supplied to the client.
Projects $5000 and Over (ex gst)
Client will make a 25% down payment prior to work commencing. The project can be scheduled once down payment has been received. The down payment is non-refundable. 50% will be paid upon approval of design concept. The remaining 25% is payable upon completion of the project and before final artwork is supplied to the client.
Cancellation
If after the project has commenced client communication stops for a period of 90 days, the project can be cancelled by Ground Creative, and all copyrights shall be retained by Ground Creative. A cancellation fee for work completed shall be paid by the client, with the fee based on the stage of project completion.
Miscellaneous.
Samples
The client shall provide Ground Creative with samples of print design that result from the project deliverables. Such samples shall be representative of the highest quality of work produced. Ground Creative may use such copies and samples for publication, exhibition, or other promotional purposes.
Ground Creative shall have the right to photograph all completed designs or installations and shall have the right to use such photographs for publications, exhibition or other promotional purposes.
Confidentiality
The client shall inform Ground Creative in writing before project commencement if any portion of the project, material or information provided by the client is confidential.
Indemnity
The client agrees to indemnify and hold harmless Ground Creative from any and all claims, demands, losses, causes of action, damage, lawsuits, judgements, including attorneys’ fees and costs, but only to the extent causes by, arising out of, the work supplied by the designer.
